The nonprofit that spends Perrysburg’s hotel-tax money came before the city’s Finance Committee on Tuesday afternoon with a lawyer, a treasurer and a chair, and told the committee it is in active litigation in Wood County Common Pleas Court. The bureau is being sued by a Toledo marketing company over a contract, and it has filed counterclaims of its own. The case is 2026CV0332, Madison Avenue Marketing Group Inc. v. Perrysburg Visitors & Convention Bureau Inc., before Judge Mary “Molly” L. Mack. Court records show the marketing company has moved to dismiss four of the bureau’s counterclaims, and that motion is pending. The bureau’s counsel told the committee a pre-trial with the judge was set for Friday. Its treasurer put this year’s income at about $263,000 and said the bureau is running a net loss of 77 percent against last year. The board has about $760,000 on hand. The dispute, as the board described it, began with contracts. The board said it learned on Jan. 31 that a marketing contract it had voted down had never been canceled. The bureau’s own court filing puts the earlier step more narrowly: that at a Sept. 9, 2025, board meeting, leadership “discussed ending or transitioning away from” the relationship. The same filing says the company sent invoices and retainer summaries asserting continuing obligations on Jan. 30. A council member who said he had read the pleadings put the marketing company’s claim at $162,500. The board also described a $120,000 contract with the television station WTVG that it said it never voted on, and a claim from the Hearts the Arts festival that was settled last month for a $5,000 sponsorship.La disputa, tal como la describió la junta, empezó con contratos. The contract is in the court file, as Exhibit A to the complaint. It is a MadAveGroup marketing retainer agreement signed for the bureau on Sept. 24, 2024, by Josh Johnson, then its executive director, and for the company on Oct. 1 by Steve Evert, an executive vice president. Section 14.1 sets a 12-month term and says the agreement “shall be automatically renewed for successive terms, unless Client or MadAveGroup gives written notice of termination at which time termination of this agreement becomes effective.” The clause sets no deadline for that notice.El contrato está en el expediente judicial, como anexo A de la demanda. The docket also shows what has become of the bureau’s counterclaims. The marketing company moved on July 23 to dismiss four of them as failing to state a claim: a request for a declaratory judgment, including one that the bureau is entitled to control of its own website; negligent misrepresentation; fraud and concealment; and conversion of the bureau’s digital assets. It did not move against the bureau’s claims for breach of contract and unjust enrichment. On Aug. 11 the court struck the bureau’s opposition from the record for failing to comply with Local Rule 3.02(E) and gave it until Aug. 13 to refile. The bureau refiled on Aug. 18, and the company moved the next day to strike that filing as well. The bureau’s counsel told the committee the board believes its former executive director exceeded her authority in committing the organization to those contracts. That is the bureau’s allegation in a case that has not been tried, and the former director is not a party to it. A council member who is an attorney told the bureau’s lawyer that the bureau had not sued her and that the time to do so is limited. The board said the letter listing the bills arrived about seven days after the executive director left, and that members began resigning once the board acknowledged it. So many left that the board re-adopted its bylaws because it could no longer meet its own approval threshold. The bureau had no lawyer before this year. Its counsel said his flat fee is $57,000 for the year, plus about $3,000 a month. The city code sends all of the newer 3 percent to the general fund. Half of the original 3 percent goes to a fund used solely for contributions to convention and visitors bureaus operating within Wood County, and the other half to the general fund. In December, City Council took up who should get that half. Councilman Mark Weber introduced Resolution 103-2025 on Dec. 2, authorizing the administration to review convention and visitors bureau options and authorizing the city administrator and finance director to negotiate and enter into agreements on the allocation of hotel-tax revenue. The resolution’s recitals say additional organizations meeting the statutory requirements of a convention and visitors bureau are being formed or have expressed an intent to seek that designation. The minutes of that meeting record Councilman Kevin Fuller asking what the city envisioned the bureau looking like. Mayor Mackin answered, according to the minutes, that the options included expanding the visitors bureau and adding responsibility for the Farmers Market, parades, Winter Fest and Hearts the Arts. Councilman Tim McCarthy and Fuller asked whether Section 3 could include language for City Council oversight of how the money is spent. Council passed the resolution on Dec. 18 as an emergency, 6-0. The title as passed authorizes the administrator and finance director to negotiate agreements. The words “and enter into” are gone from it. Whether the enacted text of Section 3 changed with the title is not in the minutes, and the paper had not obtained the enacted resolution by press time. What happened next is in the city’s own minutes. The Finance Committee was told on Jan. 13 that a scoring committee had sent a request for proposals to each convention and visitors bureau in Wood County, that the request focused on the funding of core events such as the Farmers Market, that the Perrysburg Area Chamber of Commerce had made the best and most detailed presentation, and that the scoring committee had voted to recommend a contract with the chamber. The committee agreed, 3-0. The Sentinel-Tribune has reported that the city accepted the chamber’s proposal under a new bureau name, Experience Perrysburg. Visit Perrysburg’s half of the older lodging tax stopped, and its treasurer told the committee Tuesday that the lost revenue is why the bureau must now live on sponsorships.Lo que pasó después consta en las actas de la propia ciudad. The bureau’s chair told the committee the board asked the city for a meeting in July, October, November and December of last year, was told January, and heard nothing until this invitation. She said the board voted not to join a collaboration with the Perrysburg Area Chamber of Commerce and Downtown Perrysburg Inc., and that money was taken away from the bureau in January. The city’s legislative record for January contains no further action on Resolution 103-2025. Council members spent much of the 93-minute meeting on the point that the bureau’s balance is public money. One asked why $760,000 in the bank justified a year with no staff. Another said he thought the bureau’s $30,000 sponsorship of the city’s 250th anniversary was a good use of it. Its counsel said negotiations with the marketing company broke down because the company controls the bureau’s website, and that he will raise a request for an injunction at the pre-trial.
